MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of [EFFECTIVE DATE] ("Effective Date") by and between:

1. PURPOSE

3. OBLIGATIONS
Each Party agrees to:
(a) Hold the other Party's Confidential Information in strict confidence;
(b) Not disclose the Confidential Information to any third parties without the prior written consent of the disclosing Party;
(c) Use the Confidential Information solely for the Purpose;
(d) Protect the Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

4. EXCLUSIONS
Confidential Information does not include information that:
(a) Is or becomes publicly known through no breach of this Agreement;
(b) Was rightfully in the receiving Party's possession before disclosure;
(c) Is received from a third party without restriction;
(d) Is independently developed by the receiving Party without use of Confidential Information.

5. TERM
This Agreement shall remain in effect for 2 year(s) from the Effective Date, unless earlier terminated by mutual written agreement of the Parties.

6. RETURN OR DESTRUCTION
Upon the request of the disclosing Party, the receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.

7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [GOVERNING STATE/COUNTRY], without regard to its conflict of laws principles.

8. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.
